Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by Ledger (“Ledger,” “we,” “our,” or “us”), including our website located at https://useledger.io and any related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Description of the Service

Ledger provides a software platform designed for real estate investors, wholesalers, and related professionals. The Service includes tools for deal analysis, underwriting, property data aggregation, and deal sharing and collaboration.

Ledger is a technology platform only. Ledger is not a real estate broker, agent, lender, financial advisor, or legal advisor, and is not a party to any transaction conducted between users.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms and that you have the authority to provide any information or content you submit through the Service.

3. User Accounts

To access certain features, you may be required to create an account. You agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activities that occur under your account.

Ledger reserves the right to suspend or terminate accounts at its discretion.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You shall not use the Service to submit false, misleading, or fraudulent information, including inaccurate deal details or misrepresentations of ownership or contractual rights. You also agree not to interfere with or disrupt the operation of the Service, including by attempting to access systems or data not intended for you, or by scraping or reverse engineering the platform.

5. User Content and Deal Listings

You retain ownership of any content you submit to the Service, including property details, deal information, and related materials (“User Content”). By submitting User Content, you grant Ledger a non-exclusive, worldwide, royalty-free license to use, store, display, and process such content solely for the purpose of operating and improving the Service.

You represent and warrant that you have all necessary rights to submit such content and that the information provided is accurate to the best of your knowledge. Ledger does not verify or guarantee the accuracy, legality, or completeness of any User Content.

6. Deal Sharing and Transactions

Ledger enables users to share and discover real estate deals. However, Ledger is not a party to any transaction between users and does not broker, negotiate, or facilitate closings.

All transactions occur directly between users. You are solely responsible for conducting due diligence, verifying deal information, and ensuring compliance with applicable laws.

7. Buyer and Seller Interactions

Ledger does not verify the identity, credentials, or financial capacity of users. Any communication or agreement between users is solely between those users.

You are responsible for independently verifying all counterparties, including proof of funds, identity, and legitimacy. Ledger is not responsible for any losses, disputes, or damages arising from user interactions.

8. Non-Circumvention and Platform Integrity

You agree not to use the Service to identify deals or counterparties and then circumvent the platform to complete transactions in a manner that avoids applicable terms, protections, or fees.

You further agree not to copy, distribute, or reuse deal listings or user information outside the platform without authorization. Violations may result in suspension or termination of your account and may subject you to legal action.

9. Messaging and Communications

If the Service includes messaging or communication tools, you agree to use them responsibly. You may not send unsolicited bulk messages, engage in harassment, or attempt to bypass system safeguards.

Ledger reserves the right to monitor usage patterns, implement rate limits, and restrict or suspend access to messaging features in response to misuse.

10. No Investment Advice

The Service provides informational tools only. Ledger does not provide investment, financial, legal, or tax advice.

Any data, analysis, or outputs provided through the Service, including property valuations and comparable sales, are estimates and may be inaccurate. You are solely responsible for any decisions you make based on the Service.

11. Third-Party Data

The Service may incorporate data from third-party providers, including public records and external APIs. Ledger does not guarantee the accuracy, completeness, or timeliness of such data. You agree to independently verify all information before relying on it.

12. AI and Automated Outputs

Certain features of the Service may rely on automated systems or algorithms to generate insights, including property valuations and deal analyses. These outputs are provided for informational purposes only and may be incomplete or inaccurate.

13. File Storage

If the Service allows for file uploads, Ledger acts solely as a storage provider. Ledger does not review, verify, or enforce the contents of uploaded documents. You are responsible for ensuring the legality and accuracy of any files you upload.

14. Fees and Payment

If Ledger offers paid services, applicable fees will be disclosed prior to purchase. Subscriptions may renew automatically unless canceled.

Failure to pay may result in suspension or termination of access to the Service. All fees are non-refundable except as required by law or explicitly stated otherwise.

15. Termination

Ledger may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or engage in conduct that is harmful to the platform or other users.

16. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. Ledger makes no warranties, express or implied, regarding the Service, including its accuracy, reliability, or availability.

17. Limitation of Liability

To the fullest extent permitted by law, Ledger shall not be liable for any indirect, incidental, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or related to your use of the Service.

18. Indemnification

You agree to indemnify and hold harmless Ledger from any claims, damages, or expenses arising from your use of the Service, your User Content, or your violation of these Terms.

19. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflict of law principles.

20. Changes to Terms

Ledger may update these Terms from time to time. Continued use of the Service after such updates constitutes your acceptance of the revised Terms.
